Welcome to Bluehood.

These Terms of Service (“Terms”) govern your access to and use of the Bluehood application, website, platform, features and related services (collectively, the “Services”).

Bluehood is operated by Cede Limited, a company incorporated in England and Wales (“Cede”, “Bluehood”, “we”, “us” or “our”).

By creating an account, accessing or using Bluehood, you agree to these Terms. If you do not agree to them, you must not use the Services.

1. About Bluehood

Bluehood is a proprietary investor intelligence ecosystem designed to help users discover, organise and understand market and economic information.

Bluehood includes features such as:

• Personhood;
• Structured Feed;
• Asset Watchlist Intelligence;
• Genie;
• Agora;
• Hooding;
• community and discussion features;
• market and economic information;
• subscriptions and premium services.

Bluehood is designed to provide information, intelligence and communication tools. It is not a brokerage, exchange or trading platform.

2. Eligibility

You must be at least 18 years old to use Bluehood.

By using Bluehood, you confirm that:

• you are legally capable of entering into these Terms;
• the information you provide is accurate and current;
• you will comply with applicable laws and regulations;
• you will not use Bluehood for unlawful purposes.

We may restrict access to Bluehood where required by law or where particular Services are unavailable in a jurisdiction.

3. Personhood and Identity Verification

Personhood is Bluehood’s identity and authenticity layer.

Where identity verification is required, you may be asked to provide information or complete verification procedures, which may include live-video or other verification processes.

You agree that:

• information provided for verification must be truthful and belong to you;
• you must not impersonate another individual;
• you must not attempt to circumvent verification;
• you must not create accounts using another person’s identity.

Failure to complete or pass verification may restrict access to certain Bluehood features.

4. User Accounts

You are responsible for maintaining the security of your account and login credentials.

You must notify us promptly if you believe your account has been accessed without your permission.

You must not:

• share your account with another person;
• impersonate another person or organisation;
• create deceptive or fraudulent accounts;
• use another person’s verification information;
• attempt to obtain unauthorised access to another account.

5. Structured Feed and User Content

Bluehood allows users to publish and interact with market-related and other permitted content.

You retain ownership of content you create and submit to Bluehood.

By submitting content, you grant Bluehood a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, distribute and technically process that content as necessary to operate, maintain, moderate and improve the Services.

You represent that you have the necessary rights to submit the content.

You must not submit content that:

• infringes intellectual property rights;
• contains unlawful material;
• contains malicious software;
• impersonates another person;
• constitutes harassment or threats;
• promotes violence;
• facilitates fraud;
• intentionally attempts to manipulate markets;
• contains another person’s private information without lawful authority;
• violates these Terms or our Community Guidelines.

6. Community Standards and Moderation

Bluehood is committed to maintaining an authentic and constructive community.

We may use human and automated moderation systems to identify and address content that violates our Terms or Community Guidelines.

Bluehood provides mechanisms for users to:

• report objectionable content;
• block other users;
• restrict unwanted interactions;
• contact Bluehood regarding moderation concerns.

We may remove content, restrict functionality, suspend accounts or permanently terminate accounts where appropriate.

We do not guarantee that every piece of content will be identified or removed immediately.

7. Hooding

Hooding provides communication functionality within Bluehood.

Users remain responsible for communications they initiate or participate in.

Hooding must not be used for:

• unlawful activity;
• harassment;
• threats;
• fraud;
• market manipulation;
• distribution of prohibited content;
• attempts to obtain another person’s confidential information.

Bluehood may process communications and related information where necessary for security, moderation, abuse prevention, legal compliance and operation of the Services, subject to our Privacy Policy and applicable law.

8. Genie

Genie is Bluehood’s proprietary market intelligence information engine.

Genie is designed to filter and organise information, mathematical analysis, market activity and recent developments into concise market insights.

Users may search for or select supported companies or assets to receive a Genie insight.

Genie may provide information including:

• potential ranges;
• market context;
• mathematical analysis;
• market activity;
• recent developments;
• relevant public information;
• summaries and perspectives.

Genie does not guarantee the accuracy, completeness or future performance of any information or scenario.

Important Financial Information Disclaimer

Genie does not provide personalised investment advice, financial advice, trading instructions or guarantees of future outcomes.

A Genie insight should not be interpreted as:

• a recommendation to buy or sell an asset;
• an instruction to trade;
• a guarantee of a particular price;
• a guarantee of profit;
• a statement of certainty regarding future market movements.

Users are solely responsible for their own financial and investment decisions.

9. Agora

Agora is Bluehood’s macro intelligence hub.

Agora may provide information and analysis concerning matters including:

• economic developments;
• monetary policy;
• inflation;
• interest rates;
• political developments;
• geopolitical developments;
• international markets;
• global economic conditions.

Agora information may change rapidly and may contain errors, omissions or outdated information.

Agora does not constitute financial, investment, political, legal or professional advice.

10. Market Information

Bluehood may display market information obtained from third-party sources.

Market information may include prices, ranges, news, company information, economic information, market activity and other publicly available information.

We do not guarantee that third-party information is:

• accurate;
• complete;
• current;
• uninterrupted;
• error-free.

Market information may be delayed.

Users should independently verify important information before relying upon it.

11. No Brokerage or Trading Services

Bluehood does not execute trades or hold customer assets.

Bluehood does not provide:

• brokerage services;
• securities trading;
• custody services;
• securities exchange services;
• personalised investment management;
• financial advisory services.

Bluehood should not be used as a substitute for professional financial advice.

12. Subscriptions and Digital Purchases

Bluehood may offer paid Services, including subscriptions and digital experiences.

Available plans and prices may change and will be displayed before purchase.

Where a purchase is made through Apple’s App Store, payment and billing are processed by Apple through Apple’s In-App Purchase system.

Subscriptions automatically renew unless cancelled in accordance with the applicable Apple subscription terms.

Users can manage subscriptions through their Apple Account settings.

13. Genie and Other Digital Accesses

Bluehood may offer paid access to certain digital experiences, including Genie interactions or other limited-use features.

Such purchases provide access to the applicable digital Service and do not constitute the purchase of financial advice, guaranteed information or guaranteed outcomes.

14. Intellectual Property

Bluehood, Cede Limited, and their respective branding, names, logos, designs, interfaces, software, systems, databases, technology and proprietary methodologies are owned by or licensed to Cede Limited.

Nothing in these Terms transfers ownership of Bluehood intellectual property to you.

You must not:

• copy Bluehood’s proprietary technology;
• reverse engineer the Services;
• reproduce proprietary interfaces;
• extract or systematically scrape Bluehood data;
• reproduce Bluehood branding without permission;
• create a competing service using Bluehood proprietary materials.

15. Third-Party Services and Information

Bluehood may rely on third-party services, APIs, data providers, hosting providers and information sources.

Third-party services may be subject to their own terms and privacy policies.

We are not responsible for the availability or accuracy of third-party services outside our reasonable control.

16. Advertising and Partnerships

Bluehood may display advertising and commercial content from businesses and partners.

Advertising does not constitute an endorsement by Bluehood.

We may establish rules governing the types of businesses, products and services permitted to advertise.

We may remove or reject advertising that does not meet our standards.

17. Availability

We aim to maintain reliable Services but do not guarantee uninterrupted availability.

Bluehood may temporarily suspend or modify Services for:

• maintenance;
• security;
• updates;
• technical issues;
• legal requirements;
• circumstances beyond our reasonable control.

18. Account Suspension and Termination

We may suspend or terminate access where:

• you breach these Terms;
• you violate Community Guidelines;
• you engage in fraudulent or unlawful activity;
• you compromise platform security;
• required by law;
• continued access creates a material risk to Bluehood or other users.

You may stop using Bluehood at any time.

Where applicable, termination does not affect rights or obligations that arose before termination.

19. Disclaimer of Warranties

To the fullest extent permitted by law, Bluehood is provided on an “as available” and “as is” basis.

We do not guarantee that:

• information will always be accurate;
• market information will always be current;
• Genie or Agora outputs will always be correct;
• Services will always be available;
• the platform will be completely free of errors or interruptions.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

To the fullest extent permitted by law, Bluehood will not be responsible for losses arising from investment or financial decisions made using information obtained through the Services.

This includes losses arising from reliance on:

• Genie;
• Agora;
• user-generated content;
• market information;
• news;
• third-party information.

21. Changes to These Terms

We may update these Terms from time to time.

Where appropriate, we will notify users of material changes.

The updated Terms will become effective when published unless a later effective date is stated.

22. Privacy

Our processing of personal information is governed by the Bluehood Privacy Policy.

The Privacy Policy explains what information we collect, why we collect it, how it is used, who it may be shared with, retention periods and applicable user rights.

23. Governing Law

These Terms are governed by the laws of England and Wales.

Subject to any mandatory rights or protections available to consumers under applicable law, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.
